1. Introduction

Welcome to Rebel Success for Leaders (“Consultant”). These Terms and Conditions (“Terms”) govern the use of our consulting services provided to business clients (“Client”). By engaging our services, the Client agrees to comply with and be bound by these Terms.

2. Scope of Services

The Consultant provides advisory, expertise, and guidance services to help organizations successfully lead change initiatives and build their organizations positively. Specific services will be outlined in a mutually agreed Statement of Work (“SOW”) or contract.

3. Engagement Terms

3.1 Confidentiality: Both parties agree to maintain the confidentiality of proprietary or sensitive information disclosed during the engagement.

3.2 Deliverables: The Consultant will provide the Client with agreed-upon deliverables as specified in the SOW.

3.3 Client Responsibilities: The Client shall provide access to necessary resources, information, and personnel to facilitate the Consultant’s services.

4. Fees and Payment

4.1 Fees: Fees for services will be outlined in the SOW or contract.

4.2 Invoicing: The Consultant will issue invoices as per the agreed schedule, and payments are due within 30 days of receipt.

4.3 Late Payments: Late payments may incur an interest fee per month.

5. Intellectual Property

5.1 Ownership: Any work product or deliverables created by the Consultant during the engagement shall remain the property of the Consultant unless otherwise agreed upon in writing.

5.2 Licensing: The Client is granted a non-exclusive, non-transferable license to use deliverables solely for internal purposes.

6. Limitation of Liability

6.1 Disclaimer: The Consultant’s services are advisory in nature. Decisions made by the Client based on Consultant’s advice are the Client’s responsibility.

6.2 Liability Cap: The Consultant’s liability is limited to the total fees paid by the Client under the relevant SOW.

7. Termination

7.1 Mutual Termination: Either party may terminate the engagement with 30 days written notice.

7.2 Termination for Cause: Immediate termination may occur if either party breaches a material term of these Terms.

7.3 Payment Upon Termination: The Client will pay for services rendered up to the termination date.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Illinois

9. Miscellaneous

9.1 Entire Agreement: These Terms, together with the SOW or contract, constitute the entire agreement between the parties.

9.2 Amendments: Any amendments must be in writing and signed by both parties.

9.3 Force Majeure: Neither party shall be liable for delays or failure to perform due to causes beyond their reasonable control.
